Sales and Promotions

Discounts do not apply to taxes or shipping costs. They are not valid on previously fulfilled or shipped orders and cannot be combined with any other offers. The discounts do not apply to dealers, resellers or corporate accounts.

Terms & Conditions of Sale

1. Agreement.
Your order is an offer to purchase the products you specified ("Products") according to the terms and conditions below. These terms will become a contract ("Agreement") when your order is accepted by ProClip USA, Inc. (ProClip) either by sending to you a confirmation that specifically references your order or by shipping the Products to you. You represent you have the legal authority to enter into this Agreement on behalf of yourself or any party you represent.

2. Returns.
No products shipped hereunder may be returned without ProClip's prior approval. In order to return a product, buyer must call ProClip at +1 800-296-3212 to obtain a return approval and return number. All returns must be made within thirty (30) days of the invoice date and include proof of purchase. The product must be in undamaged condition, meaning: NO screw can be screwed into any product, not even into the pre-drilled holes, NO holes punched through a product, NO scratches, NO screw marks and NO Velcro tape etc. We reserve the right to withhold a refund if we deem the product as damaged. A copy of your original order or invoice must accompany a return. ALL COMPONENTS PERTAINING TO THE ORIGINAL PART MUST BE RETURNED.

3. Shipping.
Shipping charges are an additional cost. P.O. Box, APO and FPO addresses are not accepted.

4. Risk of Loss.
Risk of loss will transfer to you when ProClip delivers your order to the delivery service.
5. Payment Terms.
ProClip accepts the credit cards mentioned on the product ordering screens. Your credit card will not be charged until the Products are shipped.

6. Taxes.
All applicable taxes will be applied to your order.

7. Governing Law.
This agreement shall be governed by the laws of the State of Wisconsin, without regard for its conflict of law provisions.

8. Limited Warranty.
ProClip warrants that the Products will be free of defects in materials and workmanship for a period of one (1) year from the date of purchase. If any Product should become defective within the warranty period, ProClip, at its option, will replace it, repair it or refund the purchase price. Repair or replacement parts or Products will be furnished on an exchange basis and will either be new or reconditioned. All replaced Products shall become the property of ProClip. Warranty service is available to you by delivering the Product during the warranty period to the company it was purchased from or to ProClip at 5026 Voges Rd., Madison, WI 53718 USA and providing proof of purchase, price and date. If shipped to ProClip, the buyer must first call ProClip at +1 800-296-3212 or e-mail ProClip at returns@proclipusa.com to obtain a return approval and return number. You will bear all shipping, packaging and insurance costs and all other costs, excluding labor and parts, necessary to effectuate repair, replacement or refund under this warranty. THIS LIMITED WARRANTY DOES NOT EXTEND TO ANY PRODUCT WHICH HAS BEEN DAMAGED AS A RESULT OF ACCIDENT, MISUSE, ABUSE OR AS A RESULT OF UNAUTHORIZED SERVICE. THIS WARRANTY IS IN LIEU OF ALL OTHER EXPRESS WARRANTIES FOR THIS PRODUCT. IMPLIED WARRANTIES, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT SHALL HAVE NO GREATER DURATION THAN 1 YEAR FROM THE DATE OF PURCHASE. IN THE EVENT THIS PRODUCT BECOMES DEFECTIVE DURING THE WARRANTY PERIOD, THE PURCHASER’S EXCLUSIVE REMEDY SHALL BE REPAIR, REPLACEMENT OR REFUND AS PROVIDED ABOVE.
IN NO EVENT SHALL PROCLIP BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROPERTY, ARISING FROM BREACH OF ANY EXPRESSED OR IMPLIED WARRANTY.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above exclusion may not apply to you.

This warranty gives you specific legal rights, and you may have other rights which vary from state to state.

9. Products.
ProClip may revise or discontinue Products at any time. ProClip will ship Products that have the functionality and performance of the Products ordered, but differences between what is described and what is shipped are possible.
10. Limitation of Liability.
PROCLIP'S TOTAL LIABILITY WHETHER FOR BREACH OF CONTRACT, WARRANTY, LATE DELIVERY OR NON-DELIVERY, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE, IS LIMITED TO THE PRICE OF THE PARTICULAR PRODUCT(S) SOLD WITH RESPECT TO WHICH LOSSES OR DAMAGES ARE CLAIMED. PROCLIP WILL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, TO THE FULL EXTENT SUCH MAY BE DISCLAIMED BY LAW.
SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

11. Compliance with the Law; Resale Sales and U.S. Government Sales Not Intended.

You agree to comply with all applicable laws and regulations of the various states and of the United States and other countries that relate to the Products or this Agreement.

ProClip has separate terms and conditions governing the sale of Products to the U.S. Government and registered Resellers.

12. Amendment.
This Agreement may not be altered, supplemented, or amended by the use of any other document(s). Any such attempt will be null and void unless otherwise agreed to in a written agreement signed by both you and ProClip.

13. Severability.
If any provision of this Agreement is held to be invalid by any law, rule, order or regulation of any government or by the final determination of any state or federal court, such invalidity.
